Terms of Service

The contract between you and Kodexi.

1. Acceptance

By installing, opening, or using Kodexi (the "Service"), you agree to these Terms. If you don't agree, don't use the Service. The Service is provided by Vitor Ribeiro (sole proprietor, Brazil) ("we", "us").

2. Account

Some features require an account. You're responsible for keeping your password safe. You must be at least 13 years old.

3. License to use the app

We grant you a personal, non-exclusive, non-transferable, revocable license to use Kodexi on devices you own or control, for non-commercial personal use, subject to these Terms.

4. Your content

The text you capture and the conversations you have with the AI features are your content. You retain all rights to it. You grant us a strictly limited license to process it solely to provide the Service to you — including syncing your encrypted content across your own devices and routing AI requests to third-party providers as described in our Privacy Policy.

We never look at, train on, or sell your content. Our infrastructure is designed so we technically cannot: your content is end-to-end encrypted on your device before reaching our servers.

5. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service to violate any law or third-party rights, including copyright.
• Capture or store content you do not have the right to access.
• Attempt to circumvent rate limits, abuse the AI features, or impose costs disproportionate to your subscription tier.
• Resell, sublicense, or commercially redistribute the Service or its outputs.

We reserve the right to suspend or terminate accounts that violate these rules.

6. Third-party content and reading apps

Kodexi works alongside reading apps (Kindle, Apple Books, etc.) but is not affiliated with their providers. The books and other content you read through those apps remain subject to their respective terms. Kodexi captures only what is currently displayed on your screen.

7. AI-generated content

Kodexi uses third-party AI models to generate chat responses, flashcards, audio explanations, and research summaries. AI output:

• May be incorrect, biased, or out of date. Verify before relying on it.
• Is provided "as is" — we do not warrant accuracy.
• Should not be used as legal, medical, financial, or other professional advice.

8. Subscriptions and payments

8.1 iOS — In-App Purchase

iOS subscriptions are billed by Apple via the App Store. Apple's standard terms apply. Cancel, manage, or request refunds via your Apple ID Settings or directly with Apple.

8.2 macOS — Stripe

macOS subscriptions are billed by Stripe. Prices, currency, and tax are shown at checkout. Subscriptions renew automatically until you cancel via the customer portal (Settings → Subscription → Manage). Cancellation takes effect at the end of the current billing period — we do not pro-rate refunds for partial periods unless required by Brazilian consumer law (CDC).

8.3 Right of regret (Brazilian CDC Art. 49)

If you are a Brazilian consumer and you purchased a macOS subscription remotely, you have 7 days from the purchase date to cancel and receive a full refund, no questions asked. Contact support@kodexiai.com.

9. Termination

You may terminate by deleting your account in Settings or by uninstalling the app. We may terminate or suspend your account at any time for material violation of these Terms, with notice where reasonable.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except as required by Brazilian consumer-protection law (CDC).

11. Limitation of liability

To the maximum extent permitted by Brazilian law, our total liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of data, profit, or reputation.

Nothing in these Terms limits liability for fraud, gross negligence, or rights that cannot be waived under Brazilian law.

12. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your use of the Service in violation of these Terms or applicable law.

13. Governing law and venue

These Terms are governed by the laws of the Federative Republic of Brazil. Disputes are subject to the exclusive jurisdiction of the courts of São Paulo, SP, Brazil — except where Brazilian consumer-protection law confers a non-waivable venue right on the consumer.

14. Changes

We may update these Terms from time to time. Material changes trigger a re-consent prompt in the app. The version string at the top of this page reflects the current version.
